Risk and manage risk

Conceptually, risk is any uncertainty that may be harmful to the ability to successfully implement the business objectives of the enterprise. Businesses can identify potential risks to manage them. Fully understood, risk management is a process of a comprehensive review of the business operations to identify potential risks that may impact adversely to the operational aspects of the business. Based on that, the response solutions will be given corresponding to each risk. We can also understand that the risk management process is a process that is organized in a formal way and ongoing to determine, control and report the risks that can affect the achievement of the business objectives of the enterprise.

Confirmation of business objectives

Therefore, at the begining the risk management process, the first task that business leaders need to do is confirming the operational goals of the business. This will be the base to ensure that risk management activities are held in the right direction.

Identify Risks

There are many methods to identify risk. Each method has different advantages and disadvantages. However, the following methods are considered using to determine the risk:

1.Organize risk assessment workshop;

2.Organize “Brain Attack” meeting;

3.Questionnaire;

4.Audit and inspection;

5.Based on industry norms;

6.Situation analysis

In fact, the method of determining risk that are used most in organizations is organizing risk assessment workshop. Attending the workshop are the Board of Directors and leaders of all departments. Members at the workshop will exchange information to give a list of business risks. In many cases, the result of the risk identification process is a long list of potential risks. However, this should not be too worried, the implementation of the next steps of the risk management process will help identify clearly the risks that are really the great risk to enterprises.

Description and classification of risk

After identifying potential risks, the next step is to describe briefly but specifically about the origin, cause, consequence and impact of each risks to the enterprise.

Next, we will implement the risk classification. There are many different types of potential risks for enterprises. They can originate inside or outside the enterprise. Based on the nature of the risk, they are many way to classify risk. However, the most common way is to classify risk into 4 groups as follows:

1.Financial risk: interest rate, exchange rate, credit source, cash flow and ability to pay…;

2.Strategic risk: competition, customer changes, industry changes, risks for research and development activities, intellectual property…;

3.Operational risk: the leaders, corporate culture, violation of management rules, financial control, information systems…;

4.Dangerous risk: environmental risks, supplier, natural disaster, risks for assets, contracts, products and services…

The classification of risks as above will help enterprises to manage risk in a systematic way.

Assessment and risk rating

Enterprise resources are limited while the number of the risks is great. So, the next step is to organize, evaluate and ranking risks according to priority level of response. Enterprises will analyze, evaluate each risk according to two criteria: the possibility of risk and the extent of the risks affecting the business if happened. The risk that the businesses need to prioritize response and prevent is the risk with high likelihood and degree of influence.

Develop response plans

Develop response plans is an important stage in the process of risk management. At this stage, enterprise should given the preventive measures and specific control should be taken to prevent and minimize damage if the risk occurs. There are 3 contents that must be determined for each specific risk when developing response plans:

1.Measures that should be implemented to prevent risks;

2.The completion deadline for those measures;

3.The person that responsible for managing that risk.

Monitoring the implementation of measures

In the process of implementation of response measures, businesses need to build a system of reporting regularly to ensure strict control of the implementation process. Enterprises also need to ensure that all shortcomings in the implementation of risk control measures must be timely reporting to leaders.

At the same time, business leaders must also build a culture of risk management to every staffs in the enterprise. It is high time that the corporate governance should seriously view the role of risk management activities, consider setting up and maintaining a risk management system in business. Classify Risks in Business Environment

Risks are varied and often change. It evolves according to the changes and evolution of the business environment. There are many ways to classify the type of risk, depending on the field, origin, function, scope, impact, occurrence and severity of harm…

However, we can generalize several common risks in the business environment in Vietnam as follows:

First is financial risk. Financial risk can be defined as the risks in the field of financial management such as credit risk, exchange rate, interest rate, liquidity, investment, asset, liability and cash flow… In recent times, many Vietnam companies are reeling from interest rate risk (interest rate goes up too high) and investment risk (inefficient investment); while banks are reeling from credit risk (bad debt). The risk in exchange rate also caused many hardships to import businesses. After signing the contract to purchase goods in foreign currency, the exchange rate increased unexpectedly. Financial risks could be considered risk that covers all risks because the result of these risks, whether they are non-financial, is more or less led to financial losses.

Second is policy risk. Policy risk is the risks related to Government policy. A new or changed policy can bring business opportunities for this group of enterprises but can cause severe damage to other business groups. The policy to open door or close door to foreign firms may affect the operation of domestic enterprises. A tax policy changes could make many business owners scared.

Next is strategic risk. It is defined as the risks related to the planning and implementation of strategies. A strategy is selected by emotion; lack of careful analysis can potentially lead to failure. The multi-sectoral strategy of many enterprises recently is clear examples of strategic risk when businesses participate in new industries that does not based on its core competences. Even a properly planned strategy also has risk of failure in the implementation process. Also, along the way of a long-term strategy, there may be fluctuations that if businesses do not have the appropriate adjustment steps, the risk of failure is unavoidable.

The fourth type of risk is brand risk, which is the risk related to the image and prestige of the brand. A company that has illegal activities, deceiving consumers, harmful to people’s health and environment could make bad brand image. As a result, customer will boycott, the company may become unprofitable and even bankruptcy. In other case, a company trying to build a brand without protection, it will be imitated by competitors or furthermore will also go bankrupt as a consequence.

The fifth type of risk is technology risk. It can be defined as the risks related to technology. For example, desk phone is almost dead with the development of mobile phone with cheap subscription fees.

Next, the seventh type is legal risk. Legal risk is the risks related to the law. Enterprises can accidentally or intentionally violate the law. On the other hand, law can also vary according to the negative direction for the business. If enterprise does not update legal information and conduct early identification of legal risks, business can easily fall into situation of legal violation or loss of competitiveness when required to comply with the law.

The eighth type of risk is human risk. Human risk is the risks related to the corporate workforce. Talented people and key personnel can leave the enterprise for any reason. The gray matter of the enterprise (often accompanied by technological know-how and trade secrets) can flow to competitors. In contrast, businesses may inadvertently acquire vandals come to work in the enterprise. Incompetence and poor ethics general manager or senior management is capable of making a business to become bankrupt. That is not including other risks related to the strike, shortage or surplus of human resources… In fact, human risk could par with the financial and business risks because since its adverse effects are not inferior.

Ninth is operational risk, which is the risk relating to management and operation capacity of business, including management system, operational process, policies, rules, regulations, operating procedures, the way of management and administration and also the use of human in the operating system. A loose management system can create multiple vulnerabilities, causing loss of property and money; an unreasonable or lacking strict control operating procedure may give rise to violations, leading to malfunction or damage. The flaws in personnel arrangement are not only reducing the working efficiency but also obstructing and even hazardous for the development of enterprises.

Tenth is the market risk, which is defined as the risk related to the movement and changes of the market, including products, customers, consumers, suppliers, partners and competitors. Changes in consumer trends can make it difficult for many businesses. The new competition ways from rivals may directly threat to the normal operations of the business.

Next is the contract risk. Contract risk is the risks related to the signing of the cooperation agreements, economic contracts and contracts of sale… The terms that lacks of clarity are detrimental, leading to damages to the enterprise in case of disputes.

Twelfth is the security risk, which is risk related to information. Technological know-how and trade secrets might be revealed or leaks. At normal levels, businesses may be imitated by competitors. More specifically, the entire plan or strategy can go bankrupt.

In addition, there are other types of risk that could be mentioned as disaster risks (natural disasters, fires, explosions, accidents, war, violence…), relational risk, communication risk and risk in the application of information technology…

Most of these types of risk, enterprises are commonly encounter. If they know how to manage risks, businesses are more likely to evade, disable, minimize negative impacts or at least actively embrace and respond in the most appropriate manner.

Private Hospital Projects Attract Foreign Investment

After many domestic investors failed to invest in the construction of private hospital, from 2014 until now, especially in the first months of 2016, there were many foreign investors interested in this area.

Recently, a US delegation composed of more than 40 representatives from US leading hospitals, pharmaceutical companies, medical equipment companies, research institutions and medical training institutions came to offer Ho Chi Minh City (HCMC) leaders, as well as with the 175 Military Hospital to join hands and develop the private health sector under the health socialization policy of HCMC till 2020.

According to the chairman and founder of the worldwide health service network company, they want to invest in Vietnam medical sector. If so, in addition to investment in infrastructure and equipment in the public – private cooperation model, investors also need to invest in manpower training and hospital management model to operate more efficiently.

According to the Director of the HCMC Health Department, the city is having a lot of large projects that need the cooperation of both domestic and foreign investors such as the Health Complex in Tan Kien, Binh Chanh District, with many projects such as the City Children’s Hospital, Hospital of Otolaryngology campus 2, Hematology and Blood Transfusion Hospital, Oncology Hospital, Pham Ngoc Thach University of Medical campus 2…

The Government of Vietnam is conducting the socialization schedule in the medical field. In fact, the total health expenditures of 93 million people in Vietnam now accounts for 5.8% of GDP, the highest in ASEAN, which is said to become the magnet for investors in this market.

In 2016, many foreign investors such as Bumrungrad Hospital Corporation (Thailand) and Lippo Group (Indonesia) have expressed their intention to develop hospital chain in Vietnam. This is considered a good time to invest in Vietnam health sector.

In a recent meeting with leaders of Vietnam Government, Temasek Corporation (Singapore) said that in the coming time, this corporation wish to promote investment activities in Vietnam, in which they will mainly invest in health sector by building private hospitals.

Earlier, in January 2014, Shangrila Corporation of Malaysia has invested to build Thanh Do Hospital in Binh Tan district, HCMC. The hospital has 320 beds, 21 clinical and subclinical specialties such as obstetrics and gynecology, pediatrics, surgery, cardiology, otolaryngology, ophthalmology, urology, cancer, hepatobiliary, digestion… Until June 2015, the hospital has announced to change their name and logo into City International Hospital (CIH).

At the beginning of 2016, the investors in the health sector continues to surprise when VOF Investment Fund (managed by VinaCapital) announced to takeover 75% stake in Thai Hoa International Hospital in Dong Thap province. The amount of money that VOF invested here is about 10 million USD.

According VOF, in the coming time, the Fund will continue to seek investment opportunities in the healthcare sector, including investment opportunities in equitized public hospitals if they feel attractive enough.

M&A Vietnam – “Hot” Investment Channel

M&A Opportunities in Vietnam
In recent years, foreign investors spent approximately 3 billion USD to buy shares in more than 3,000 enterprises in Vietnam, in which most of them purchased over 50% of the shares. It indicates that investment trends through the model of merger and acquisition (M&A) are booming strongly in the market.

According to the report from the Foreign Investment Department under the Ministry of Planning and Investment, from July 1st 2015 to July 1st 2016, there were 3,141 companies in Vietnam are acquired by foreign investors in the form of buying shares. The total value of those deals is 2,948 billion USD. This is the first time the Foreign Investment Department showed the statistics on foreign investment flows into Vietnam through M&A activities. It shows that the trend of investment into Vietnam through M&A is increasing greatly.

As reported by the IMAA, a foreign research institute on M&A, the total value of M&A in Vietnam in 2015 reached 4.3 billion USD, 40% higher than in 2014 and surpassing the record level of 4.2 billion USD in 2012. It is expected that the value of M&A deals in Vietnam in 2016 is likely to break the record of 2015 and reached 6 billion USD.

Many analysts are predicting that the food, logistics, retail and real estate industries will still be targeted by foreign investors. The main reason is that the potential of Vietnamese consumers is growing due to young population and growing economy.

Among more than 3,000 M&A deals that are statistically by Foreign Investment Department, there were 1,894 deals valued at 1.8 billion USD that are invested by foreign investors to hold dominant share of over 50% . It means more than half of M&A deals in the past year are made with long-term investment objectives.

There has been more active involvement of the Private Equity fund (PE). Previously, if the PE funds often take part in the purchase of shares which is not dominant, but now, the PE fund is ready to invest at a higher percentage to increase profit and reduce competition. In addition, the increase in ownership percentage will also help to increase the PE funds’ intervention in business activities of enterprises to create surplus value.

When the inflow of foreign investment into Vietnam through M&A increases, it will create opportunities for domestic enterprises to mobilize capital, improve enterprise management skills and competitiveness. One of the examples is the case that Vietnam Airlines sold 8.8% of shares to ANA Holding, the largest airline corporation in Japan.

In fact, many other businesses also consider M&A as an effective channel for capital mobilization. Therefore, after the Vietnam Government allowed to increase the percentage of capital held by foreign investors at the company listing on the stock market to 100%, many companies have decided to open “room” to welcome this new capital flows. Many examples are Hoang Quan Real Estate Company, Thu Duc Housing, An Phat Plastic and TNG Garment. Even Vinamilk, one of the most successful dairy enterprises in Vietnam, also have to think about loosening “room” to 100% to attract foreign investment through M&A activities.

Danang Resort Real Estate Is Growing Well

Savills Vietnam has just published a report updating the situation of Danang real estate market in the first half of 2016. Accordingly, the segment of hotel, resort and villa continues to be exciting with the launch of many new projects as well as the presence of many famous brands in the world.

Specifically, according to Savills Vietnam, in the first half of 2016, the number of tourists coming to Da Nang has increased by 28% year on year, while domestic passenger traffic increased by 4% year on year.

Thanks to the flourishing of the tourism activity, only in the second quarter of 2016, the total number of 3 – 5 stars hotel in Danang increased by 4% quarter on quarter and 15% year on year. The average occupancy rate has also increased by 2% compared to the first quarter of 2016. The average room rate has increased by 6% over the same period in 2015.

Place these datas in the context of the tourism industry of some central provinces (from Ha Tinh to Thua Thien Hue), which are suffering heavy losses due to the environmental disaster caused by Formosa in the first months of 2016, it is clear that the attraction of Danang tourism is very good.

Also according to Savills, in the second half of 2016, 3 new projects in the hotel segment, which are expected to enter the market, will continue to provide about 1,320 rooms; including Crowne Plaza phase 2, Hilton Danang Hotel and Four Points under Sheraton. Since the third quarter of 2016 to 2018, it is expected to have 35 new projects entering the market.

For the resort villa segment, Danang is a pioneer in high-end coastal real estate segment and second (after Nha Trang) in total supply with 1,199 villas and 3,367 apartments. The surveys indicate that more than 80% of buyers coming from Hanoi, being attracted by diverse portfolio of products, complete infrastructure, tourism prospects, attractive sales policy as well as an image of Danang as a green, young and dynamic city.

We have to mention the successful projects such as Bana Hill, Ocean Villas, Hyatt Regency, Furama, Intercontinetal and Azura. Moreover, there are large-scale future projects that are Soleil Danang, Coco Bay, Da Phuoc, Han Riverside, Ariyana, Central Coast, Vinpearl Han River and Ocean Suites & Estates. The market is expecting a large supply of coastal apartments and villas.

According to Savills Vietnam, Danang provides investors benefits from the complete development of infrastructure and urban planning. While the northwest coastal areas have the advantages of natural landscapes to develop eco-tourism, the urban areas are developing towards becoming a center of trade, finance and education. In addition, the eastern coastal areas are marked for tourism and hotel industries; the southern of Danang is expected to develop tourism and a large urban area.

With the modified Real Estate Business Law, Housing Law and expanding the conditions for foreigners to own houses in Vietnam, the real estate market of Danang will certainly become more attractive and with sustainable development in the future.
